1. Overview
Kate Logistics Solutions (“Company,” “we,” “us,” or “our”) provides dispatch and administrative support services to independent motor carriers and owner-operators.
We are not a motor carrier, broker, or shipper, and we do not take possession, control, or responsibility for freight at any time.
2. Independent Contractor Relationship
All carriers using our services are independent contractors.
Nothing in this agreement creates:
A partnership
Joint venture
Employer-employee relationship
Carriers retain full operational control, including:
Load acceptance
Route decisions
Equipment use
Driver management
3. FMCSA Compliance
Carriers are solely responsible for maintaining compliance with all applicable regulations, including but not limited to:
Federal Motor Carrier Safety Administration (FMCSA) rules
USDOT and MC authority requirements
Hours-of-Service (HOS) compliance
Insurance requirements
Safety ratings and filings
Kate Logistics Solutions does not guarantee compliance and is not liable for violations.
4. Scope of Services
We may provide:
Load searching and negotiation
Broker communication
Rate confirmations
Administrative support
Basic route planning assistance
We do not:
Guarantee specific rates or income
Control freight terms
Handle payments between brokers and carriers
5. Payments & Fees
All fees must be agreed upon in advance.
Carrier agrees:
To pay agreed dispatch/service fees
That all payments are final unless otherwise stated
No chargebacks after services are rendered
Failure to pay may result in:
Suspension of services
Collections action
6. No Guarantees
We make no guarantees regarding:
Load availability
Revenue
Profitability
Broker performance
All dispatching outcomes depend on market conditions and carrier performance.
7. Limitation of Liability
Kate Logistics Solutions is not liable for:
Lost profits
Missed loads
Broker non-payment
Delays or detention issues
Regulatory penalties
All services are provided “as is.”
8. Indemnification
Carrier agrees to indemnify and hold harmless Kate Logistics Solutions from any claims arising from:
Carrier operations
Accidents or cargo issues
Regulatory violations
Contract disputes with brokers or shippers
9. Dispute Resolution
Any disputes shall be resolved by binding arbitration in the United States.
Carrier agrees:
No class actions
Individual claims only
10. Termination
Either party may terminate services at any time.
Outstanding balances remain due immediately upon termination.
